    1. Acceptance of Terms

    Helical Systems LLC, doing business as Vrnl ("we," "us," or "our"), operates the Vrnl website and services. By accessing or using the Vrnl website and services, including signing up for our waitlist or purchasing environmental reports, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. You must be at least 18 years of age to use our services.

    2. Description of Service

    Vrnl provides environmental screening reports that aggregate publicly available data from federal government sources. Our reports are designed to provide general informational awareness about environmental conditions near specified locations. Our reports are not professional environmental assessments, Phase I Environmental Site Assessments, or substitutes for professional consulting services.

    3. Waitlist and Account Registration

    When you sign up for our waitlist or create an account:

    • You agree to provide accurate and complete information
    • You consent to receive email communications from us
    • You can unsubscribe at any time
    • Registration does not guarantee access to future services
    • You are responsible for maintaining the confidentiality of your account credentials

    4. User Responsibilities

    You agree not to:

    • Provide false or misleading information
    • Use automated systems to register multiple times or scrape our data
    • Interfere with or disrupt our website or services
    • Attempt to gain unauthorized access to our systems
    • Resell, redistribute, or commercially exploit our reports without permission

    • Distance calculations are approximate ("as the crow flies") and do not account for geographic barriers

    Our reports do NOT constitute:

    • Professional environmental consulting or assessment
    • Phase I or Phase II Environmental Site Assessments
    • Legal advice regarding environmental compliance or liability
    • Medical or health advice
    • Real estate appraisal or property valuation
    • Investment or financial advice

    Report purchases are processed through our third-party payment provider. All sales are final once a report has been generated and delivered. If you believe there is an error with your report, please contact us and we will review your concern on a case-by-case basis.

    10. Disclaimer of Warranties

    OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

    11. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, HELICAL SYSTEMS LLC D/B/A VRNL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

    12. Indemnification

    You agree to indemnify and hold harmless Helical Systems LLC d/b/a Vrnl and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

    14. Governing Law and Disputes

    These Terms of Service shall be governed by and construed in accordance with the laws of the State of Rhode Island, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved in the state or federal courts located in Rhode Island.

    15. Privacy and Data Protection

    Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the data practices described in our Privacy Policy.

    16. Professional and Reseller Accounts

    Professionals and resellers who participate in our partner program are subject to additional terms set forth in the Professional & Reseller Agreement. In the event of a conflict between these Terms and the Professional & Reseller Agreement, the Professional & Reseller Agreement shall control with respect to the professional or reseller relationship.

    17. Severability

    If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

    18. Entire Agreement

    These Terms of Service, together with our Privacy Policy, Disclaimer, and any applicable supplementary agreements (including the Professional & Reseller Agreement), constitute the entire agreement between you and Helical Systems LLC d/b/a Vrnl regarding the use of our services and supersede all prior agreements and understandings.
